Job Description

Your mission at IntegriChain:

IntegriChain is seeking a proactive and business-oriented Director (or Senior Director), Legal to serve as the company’s in-house legal lead. Reporting to the Chief Financial Officer, this leader will manage all legal matters related to commercial contracting, compliance, corporate governance, privacy, and intellectual property protection.

This is a high-impact role ideal for a practical, solutions-focused legal professional who thrives in a fast-paced, growth-oriented technology company. The Director, Legal will serve as a trusted advisor to executive leadership, while supporting cross-functional teams such as Sales, Operations, Finance, HR, and Product. This role will also have the opportunity to build out a department and function over time as we scale and grow.

Responsibilities:

Commercial Contracts

  • Draft, review, and negotiate a broad range of commercial agreements, including SaaS MSAs, DPAs, NDAs, vendor agreements, and partnership contracts.
  • Develop and maintain contract templates, clause libraries, and negotiation playbooks to drive consistency and scalability.
  • Collaborate closely with Sales and Finance teams to manage deal flow and contract approval processes.

Corporate Governance & Risk Management

  • Ensure compliance with applicable laws and regulations in the U.S. and internationally (particularly India).
  • Provide guidance on corporate governance, including board and shareholder matters, entity management, and equity documentation.
  • Advise executive leadership on legal risks and mitigation strategies related to company operations and strategic initiatives.

Privacy & Data Protection

  • Oversee privacy compliance, including support for GDPR, HIPAA, and evolving U.S. state-level data privacy laws.
  • Partner with Security and Product teams to review data handling practices and ensure appropriate contractual safeguards with customers and vendors.

M&A

  • Support and M&A activities and associated integration workstreams, including liaisoning with Legal from external deal teams
  • Partnering to create infrastructure, checklists, and processes for diligence reviews during M&A activities, including early-stage review through full integration

Legal Operations & Enablement

  • Own the development of legal workflows, document management systems, and internal education on legal policies and procedures.
  • Work with external counsel to manage litigation, IP protection, and special matters cost-effectively and efficiently.

Employment & HR Legal Support

  • Support the HR team with employment law compliance, offer letter templates, separation agreements, and employee policies.
  • Advise on internal investigations and regulatory compliance as needed.

Qualifications

What you'll bring to the table:

  • JD from an accredited law school; active license to practice law in the U.S. either through full admission or a Limited In-House Corporate Counsel License.
  • 8+ years of legal experience, with at least 3 years in-house at a SaaS, healthcare, or life sciences technology company.
  • Deep knowledge of commercial contracting, data privacy, corporate governance, and IP-related matters.
  • Experience supporting or advising international operations and multi-entity legal structures.
  • Experience working within Private Equity-backed and/or high-growth organizations a plus
  • Ability to communicate complex legal concepts in a practical, business-first manner.
  • Highly organized, responsive, and able to manage competing priorities with agility and accuracy.
  • Comfortable working independently and partnering cross-functionally across a matrixed organization.
