Job DescriptionDescription:

We are currently looking for a qualified Junior Intellectual Property Paralegal / Contract Review Paralegal to join our team. This professional is responsible for organizing all US and foreign Intellectual Property (IP) files, acting as liaison between outside attorneys and GK staff on IP matters, working in conjunction with outside attorneys for filings and prosecution and assisting in the preparation of trademark and patent filings. Additionally, this position will be responsible for reviewing contracts, NDAs and maintaining corporate books and records.


Job Responsibilities:


Intellectual Property

• Work closely with IP attorney and GK personnel regarding GK IP portfolio, acting as liaison between attorneys and GK staff on IP matters

• Receive, monitor and respond to all IP correspondence, both patent and trademark

• Maintain files for patents and trademarks, both in prosecution and issued

• Maintain docket program for renewal of patents and trademarks, payment of annuities, maintenance fees and general maintenance and prosecution – both domestic and international, performing periodic exports to correlate data

• Renew all U.S. patents and trademarks with the USPTO.

Corporate

• Maintain GK corporate minutes and stock books and records, including drafting resolutions and obtaining signatures and working with outside attorneys regarding transactions and resolutions

• Assisting with stock transfers and issuance and record of certificates

• Assisting with documents with respect to corporate transactions, including drafting and editing agreements

• Maintain general files for various GK offices in the U.S., Europe, China, Thailand, and India and assisting in obtaining office registration renewals and required documentation

Contracts

• Review customer terms and conditions, redline changes and negotiate terms and conditions of sale, primarily focusing on payment terms, warranty, indemnity and liability language

Miscellaneous

• Prepare and review non-disclosure agreements (NDAs) for customers and vendors

• Draft or review agreements, such as sales representative, fabricators, service, licensing and royalties

• Serve as a liaison between GK’s outside attorneys and GK personnel regarding litigation, IP infringement, various legal matters

• Request, maintain and provide certificates of insurance to customers

• Research and assist with general contractor license applications and renewals for multiple states

• Keeping current with U.S. sanctions policies and checking new customers and possible affiliations against sanctions lists

Requirements:

• Associate’s degree required; Paralegal Certificate preferred

• 2+ years of experience reviewing and negotiating contracts

• Experience with Intellectual Property (IP) practice and experience with IP docketing system; is a plus

• Significant, substantive legal related experience may be considered in lieu of formal education

• Ability to interact effectively and professionally and provide exceptional service, internally and externally, using discretion, good judgment and knowledge of departmental and operational policies and procedures

• Work well under pressure, highly organized, able to prioritize workflow and manage projects

• Proficient in office applications such as MS Word, Adobe Acrobat, Outlook and Excel

• Must pass a drug test and criminal background check prior to employment


Pay: $50,000 to $60,000 paid annually. The range provided is a guideline and not a guarantee of compensation. Other factors that are involved in offer decisions include, and are not limited to a candidate’s experience, qualifications, geography, and internal equity.
