Position Overview
The Corporate Transactional Attorney will be responsible for providing expert legal guidance and support in corporate transactions, including mergers and acquisitions. This role aims to ensure that all transactions are conducted in compliance with applicable laws and regulations, while effectively advising clients on their legal rights and obligations.
Key Responsibilities
- Advise clients on mergers and acquisitions, including strategy and structuring of deals
- Conduct thorough due diligence to identify potential legal issues in transactions
- Negotiate and draft transaction documents, agreements, and contracts
- Ensure compliance with securities law and regulatory requirements
- Perform legal research to support corporate transactions
- Provide guidance on transaction structuring to optimize legal and tax implications
- Assist clients with regulatory compliance and reporting obligations
- Develop and maintain strong client relationships through effective communication and advising
Qualifications
- Juris Doctor (JD) degree from an accredited law school
- Active bar admission in the relevant jurisdiction
- Minimum of 5 years of experience in corporate transactional law
- Strong knowledge of mergers and acquisitions, contract negotiation, and securities law
- Experience with due diligence and regulatory compliance
- Exceptional legal research and analytical skills
- Excellent written and verbal communication skills
- Proven ability to manage multiple projects and deadlines effectively
