Job DescriptionWe are looking for a detail-oriented Corporate Paralegal to join our team in Seattle, Washington. In this role, you will play a critical part in supporting corporate governance and compliance activities for both domestic and international entities. Your expertise will ensure the seamless management of corporate records, filings, and legal processes.

Responsibilities:
• Coordinate the preparation and submission of annual corporate governance documents, including officer and director elections and related consents.
• Collaborate with internal legal counsel to manage and update corporate databases and records management systems.
• Handle business filings and oversee corporate records for a portfolio of entities across multiple jurisdictions.
• Maintain physical and digital corporate record books to ensure accuracy and compliance.
• Manage the annual filing of reports and keep corporate minute books current.
• Administer certification processes for compliance programs, such as the Foreign Corrupt Practices Act.
• Facilitate entity lifecycle events, including formations, dissolutions, and withdrawals.
• Provide administrative support by organizing office supplies, coordinating meeting logistics, and managing internal resources.
• Assist legal team members with expense reporting and ensure efficient use of e-signature platforms like DocuSign.
• Respond to subpoenas by collecting, certifying, and tracking required documents.• Proven experience with case management software and entity management systems.
• Knowledge of corporate governance and business entity management processes.
• Expertise in handling corporate formations, dissolutions, and compliance documentation.
• Familiarity with tools like DocuSign for e-signature processes.
• Strong organizational skills for managing corporate records and minute books.
• Ability to oversee domestic and international business filings.
• Experience in supporting legal teams with administrative tasks and expense management.
• Understanding of contract compliance and regulatory requirements.
