Direct Counsel is seeking a Senior Transactional Tax Associate Attorney to join a highly ranked Am Law 100 firm with opportunities across multiple major markets.

The ideal candidate will have at least 5 years of transactional tax experience, particularly involving middle-market private equity M&A transactions. This role offers access to sophisticated deal work, cross-office collaboration, and direct client engagement within a nationally recognized corporate practice.

Key Responsibilities

  • Advise on federal and state tax implications of corporate transactions

  • Draft and negotiate tax-related provisions in deal documents

  • Conduct legal research and prepare memoranda, contracts, and supporting documentation

  • Manage components of complex transactions from initial structuring through closing

  • Interface directly with internal teams and clients to provide practical, business-minded guidance

Candidate Profile

  • J.D. and active bar admission in one of the listed jurisdictions

  • 5+ years of relevant transactional tax experience, preferably within an Am Law 100 firm

  • Exceptional written and verbal communication skills

  • Strong judgment, attention to detail, and ability to manage competing priorities

  • Collaborative mindset with the ability to operate autonomously as needed

Compensation & Structure

  • Expected salary range: $365,000 – $435,000, commensurate with experience and location

  • Hybrid schedule — in-office presence with flexibility for remote work
