Overview
Direct Counsel is seeking a mid-level corporate associate to join a leading AmLaw 100 firm’s corporate practice. This role focuses on insurance and indemnification matters across a wide range of transactions. The firm is primarily looking to fill this position in New York, but will also consider strong candidates in other U.S. office locations.
Key Responsibilities

Advise clients on representations & warranties insurance policies and other transactional risk insurance products.

Provide strategic guidance on indemnification matters in connection with corporate transactions.

Collaborate with attorneys and clients across offices to manage complex deals and negotiations.

Draft, review, and negotiate transaction documents with a focus on insurance-related terms.

Manage multiple projects independently while also working collaboratively in team settings.
Qualifications

JD from an accredited law school.

Admission to practice in the jurisdiction where applying.

2–6 years of experience in the transactional risk insurance space.

Prior experience as a broker or underwriter in this area is highly preferred.

Strong academic background and immediately transferable skills.

Exceptional writing, analytical, and communication skills.

Excellent organizational skills with the ability to manage competing priorities in a fast-paced environment.
Compensation & Benefits

Expected hiring range: $235,000 – $390,000, depending on geographic location and experience.
