Responsibilities:

• Manage legal and regulatory matters for current and prospective North American operations, including supporting expansion into new states or provinces.

• Conduct thorough legal reviews of mining contracts to mitigate risks and ensure alignment with organizational contracting principles.

• Negotiate key agreements with clients and provide strategic advice on contract interpretation, variations, extensions, and dispute resolution.

• Develop and implement commercial solutions that ensure compliance with contractual obligations while aligning with business objectives.

• Oversee disputes and litigation, representing the organization in administrative or judicial proceedings as necessary.

• Collaborate with cross-functional teams, including Finance, Operations, and Human Resources, to provide comprehensive legal support.

• Manage external legal service providers effectively, ensuring cost efficiency and high-quality outcomes.

• Facilitate legal awareness training and coach internal stakeholders on regulatory requirements.

• Prepare draft legal budgets for review and approval by senior leadership.

• Drive improvements to operational practices by developing agreement suites and coaching stakeholders on region-specific requirements.

• Minimum of 7 years of legal experience, with a strong background in corporate law, regulatory compliance, and commercial contracts.
• Proven ability to manage competing priorities and deliver results in a fast-paced environment.
• Prior experience in contracting services within industries such as mining, energy, or construction.
• Exceptional interpersonal and communication skills, with the ability to influence and build strong relationships.
• Legal practitioner with credentials from a reputable institution and eligibility to practice in Colorado.
• Demonstrated strategic mindset and commercial acumen.
• Commitment to high ethical standards and integrity in all dealings.
• Ability to travel and comply with entry requirements throughout North America.
