Position Summary:

We are seeking a proactive and detail-oriented Contracts Paralegal or Contracts Manager with 3–7 years of experience to support our legal team in managing the full lifecycle of commercial contracts. This role is essential to ensuring the smooth operation of our contracting processes and will work closely with the Commercial Contracts Attorney, business stakeholders, and cross-functional teams.

The ideal candidate will have experience in healthcare and IT-related contracts, excellent organizational and communication skills, and a strong ability to collaborate in a highly engaging, fast-paced environment


Location: New York, NY (Downtown/Tribeca)

Schedule: Monday–Thursday, In-Office (Hybrid)

Pay Rate: $35/ Hour

Duration: 6+ Months (w/ potential to extend)


Key Responsibilities:

· Assist in the preparation, review, and management of a wide range of commercial agreements, including:

· Vendor and supplier contracts

· IT and software agreements

· Business associate agreements (BAAs)

· Professional services and consulting agreements

· Support the contract lifecycle process, including intake, tracking, execution, renewal, and archiving.

· Maintain and update contract templates and clause libraries.

· Coordinate with internal departments (e.g., procurement, compliance, IT, operations) to gather information and ensure contract alignment with business needs.

· Monitor contract deadlines and ensure timely renewals or terminations.

· Assist with compliance reviews and audits related to contractual obligations.

· Support the implementation and use of contract lifecycle management (CLM) tools.

  • · Prepare summaries, reports, and presentations for internal stakeholders.


Qualifications:

· Bachelor’s degree or paralegal certification required; advanced degree or legal studies a plus.

· 3–7 years of experience in a contracts-focused role, preferably in a healthcare or health IT environment.

· Familiarity with healthcare regulations (e.g., HIPAA, BAAs) and IT contracting best practices.

· Strong collaboration, communication, and problem-solving skills.

· Excellent writing skills and attention to detail.

· Proficiency with Microsoft Office and experience with CLM systems or contract databases.

· Ability to manage multiple priorities and meet deadlines in a dynamic environment.

Preferred Experience:

· Experience supporting attorneys or legal departments in a healthcare setting.

· Exposure to SaaS, cloud services, or technology vendor agreements.

· Familiarity with value-based care or healthcare reimbursement models.
