Sr Associate

Law: Linklaters LLP seeks Sr Associate in NY, NY to advise & assist clients on structuring & establishing new U.S. & non-U.S. investment funds, managed accounts & other investment vehicles & entities, incl conduit/access funds, general partners, investment managers & investment advisers. REQ'MNTS: Masters or foreign equiv in law or specific rel. field & 5 yrs of exp in job offered or rel. occupation: Advise & assist clients on structuring & establishing new U.S. & non-U.S. investment funds, managed accounts & other investment vehicles & entities, incl conduit/access funds, general partners, investment managers & investment advisers. Advise & assist clients w/drafting & negotiating docs rel. to investment vehicles & entities, incl governing docs, offering materials, subscription materials, investment mgmt agreements, & placement agent agreements. Advise & assist clients in connection w/their carried interest & long-term incentive plan structures & drafting rel. documentation. Advise & assist clients in connection w/their legal & regulatory compliance, incl any securities laws filings. Advise & assist int'l institutional investors on investments in priv equity, real estate, debt/credit & venture capital sectors & negotiate fund & subscription materials relating to such investments. Draft, negotiate & doc agreements relating to secondary mrkt transactions, incl continuation funds. Assist w/negotiation & documentation of other client agreements to comply w/legal & bus. req'mnts. Telecommuting &/or work from home is permissible. When not telecommuting, must report to worksite. Base sal range offered for this role will be between $215,000 & $365,000/yr, 40 hrs/wk & represents firm's good faith & reasonable estimate of range of poss compensation at time of posting. Actual compensation will be dependent upon a number of factors incl, but not limited to, candidate's relevant exp, performance, qualifications, as well as needs of firm.
