Biotechnology NewCo – drug repurposing / 505(b)(2) CNS Development Program

Position Summary
The company is forming a new biotechnology development entity focused on advancing a repurposed central nervous system (CNS) drug with a highly favorable 505(b)(2) regulatory path in the United States.
We are seeking an experienced Head of Finance & Transaction Strategy to serve as a senior executive and co-founder for the development and execution of the company’s initial corporate structure, capitalization strategy, and transaction pathway.
The initial strategic plan includes:
- formation of the legal and financial structure of the NewCo,
- development of the capitalization strategy for a Phase 0–2 clinical development plan,
- identification and evaluation of potential acquisition vehicles (e.g., clean shell, microcap public company, or specialty pharma platform),
- and execution of a transaction pathway such as a reverse-merger, asset acquisition, or alternative public-ready structure.
This role is central to establishing the corporate and financial backbone of the NewCo.
Key Responsibilities
Corporate Structure & Governance
- Oversee corporate formation from LLC to Delaware C-Corp, including corporate governance, cap table design, and compliance documentation,
- Drive the development of the Phase 0-2 capitalization strategy,
- Lead the evaluation of corporate chassis candidates, including OTCQB/OTCQX shells, microcap biotechs, or specialty pharma platforms,
- Manage the development of financial controls, accounting architecture, and early-stage operations.
Finance & Capital Strategy
- Build financial models for Phase 0–Phase 2 development pathways, including regulatory, CMC, and clinical budgets,
- Develop multi-stage capitalization strategies incorporating SPVs, PIPEs, private placements, and structured equity instruments,
- Prepare financial materials for investors, advisors, regulatory partners, and potential merger counterparties,
- Lead financial diligence and risk assessment for acquisition targets.
Legal & Transaction Execution
- Work with external counsel on SEC, OTC, or uplist readiness requirements,
- Support evaluation of transaction structures including reverse mergers, RTOs, or asset acquisitions,
- Manage financial, corporate, and legal diligence processes for target companies or shells,
- Participate in negotiation and drafting of transaction terms, closing documents, and compliance filings.
External Relations & Advisory Coordination
- Engage with capital markets participants including microcap investors, family offices, and biotech-specialized funds,
- Coordinate with investment bankers, transaction attorneys, and advisors,
- Represent the company professionally in strategic and financial discussions.
Required Qualifications
- 10+ years in finance, corporate development, investment banking, private equity, or corporate law, ideally with experience in biotechnology, specialty pharma, or regulated industries,
- Demonstrated experience with reverse mergers, SPAC transactions, microcap deals, PIPEs, or complex corporate transactions,
- Strong understanding of financial modeling, capitalization structures, and corporate governance,
- Experience evaluating acquisition targets, managing due diligence, and closing transactions,
- Ability to operate in a dynamic early-stage environment with minimal structure,
- Excellent analytical, organizational, and communication skills.
Preferred Qualifications
- Experience with 505(b)(2) assets, CNS therapeutics, specialty pharmaceuticals, or drug delivery platforms,
- Direct experience with public-company reporting or SEC compliance,
- Background working with small public companies, clean shells, or microcap biotech,
- Prior operational finance or CFO experience in R&D-intensive environments.
Compensation Structure
- Founder-level equity position in the NewCo,
- Performance-based incentives linked to transaction milestones and capital events,
- Flexible cash compensation structure based on candidate experience and involvement,
- Opportunity to transition into full-time CFO or COO role post-transaction.
This position is not structured as a short-term consulting engagement; it is an executive leadership role for a candidate interested in contributing meaningfully to company formation and long-term value creation.
